BY INSTALLING, COPYING, OR OTHERWISE USING THE SOFTWARE, YOU AGREE TO BE BOUND BY THE TERMS AND CONDITIONS OF THIS AGREEMENT, INCLUDING THE SOFTWARE LICENSE AND DISCLAIMER OF SOFTWARE WARRANTY BELOW. PLEASE READ THIS DOCUMENT CAREFULLY BEFORE USING THE SOFTWARE. IF YOU DO NOT AGREE WITH THE TERMS AND CONDITIONS OF THIS AGREEMENT, YOU SHOULD NOT INSTALL OR USE THE SOFTWARE.

SHORTPOINT RESERVES THE RIGHT TO AMEND OR UPDATE THE TERMS OF THIS AGREEMENT AT ANY TIME, ACTING IN GOOD FAITH, THE PUBLICATION OF WHICH ON SHORTPOINT’S WEBSITE SHALL CONSTITUTE VALID AMENDMENT WITHOUT THE REQUIREMENT TO NOTIFY YOU OR ANY OTHER PARTY. SUCH UPDATED OR AMENDED TERMS SHALL TAKE PRECEDENCE OVER THESE TERMS AND SHALL FORM THE LEGALLY BINDING AGREEMENT BETWEEN YOU AND ShortPoint.

The software is the term for ShortPoint Farm Solutions, ShortPoint SPFx, ShortPoint Widget and includes any upgrades, updates and subsequent versions, maintenance release or other changes.

1. Grant of License; Software Use Restrictions
1.1. Software

ShortPoint provides Software in the form of three solutions:

  • ShortPoint Farm Solution

  • ShortPoint Widget

  • ShortPoint SPFx

ShortPoint Farm Solutions are for Microsoft SharePoint on-premise Farms 2013 or 2016.
ShortPoint SPFx is for Microsoft 365, SharePoint Online, SharePoint 2019, and Microsoft Teams. ShortPoint Widget is for SAP Cloud Platform Portal.

ShortPoint license is user based and Farm/Tenant/Domain license based, where:

  • ‘User’ is an employee named account who will use ShortPoint to design pages and content. In other words, User is the designer. ShortPoint User Account cannot be Admin or Shared or System Accounts.

  • ’Farm’ is SharePoint on-premise Farm.

  • ‘Tenant’ is (Microsoft 365 or SharePoint online) production Tenant Domain URL.

  • “Instance” is SAP Cloud Platform Account / Instance.

1.2 Conditions of Use

In consideration for your payment of any applicable license fee for the Software, ShortPoint hereby grants to you a personal, nontransferable (except as expressly provided in Section 4 below) and non-exclusive right to use and execute the Software on computer(s) based on purchased quantity of user licenses as well as farms or tenants as applicable without right to sublicense the Software. Under no circumstance may you store, use or allow the use of the Software in any manner on more computers than the purchased Farm quantity or one Tenant at a time.

You agree that you will not reverse engineer, decompile or disassemble any portion of the Software. If you dispose of any media or apparatus containing Software, you will ensure that you have entirely erased or otherwise destroyed any Software included on such media or stored in such apparatus.

You agree that you will not use a shared user account or system account as the ShortPoint licensed user. The user has to be a real person account.

Except as expressly provided in Section 4 below, you may not distribute, lease, transfer for profit, loan or otherwise convey the Software or any portion thereof to anyone.

1.3 License, Support and Maintenance Issuance Policy

To acquire a license to use the Software, the customer needs to select the following “Required Information”:

  • SharePoint environment being used (SharePoint 2013, SharePoint 2016, SharePoint 2019, Microsoft 365, Microsoft Teams, SAP Cloud Platform).

  • How many users (designers).

  • How Many Farms or Tenants/Domains or Instances ShortPoint is requested to license.

ShortPoint will grant a license to use the Software as described in this Agreement only after:

  • All monies owed ShortPoint or payable in respect of any Software use have been paid in advance in full and cleared by ShortPoint’s representative bank or, where applicable, ShortPoint has issued the appropriate invoice to you (which shall at all times be payable within no more than 30 days, and failure to pay such sums within the 30-day period entitling ShortPoint to immediately terminate this Agreement and all rights of use of the Software); and all Required Information has been provided to ShortPoint.

ShortPoint will provide Support if both of the following conditions are true:

  • ShortPoint license is active, and customers follow the latest updates and guidelines from the ShortPoint support department;

  • The customer is not using the shared user account, system account or any other account that is not linked to one employee or single user.

Software updates and maintenance are provided by ShortPoint and do not require having a valid license. The user is not required to have a ShortPoint license to install the product and to upgrade the product version upon the new releases. However, the user will not be able to use the new features from the new releases without having an active license.

1.4 License Activation Policy

Following issuance of the Software license as described in paragraph 1.1 above, one ShortPoint license will be activated on SharePoint Farm or Microsoft 365 Tenant or SAP Cloud Portal Instance.

For SharePoint Farm Solution, ShortPoint will, as applicable, provide you with a license key for activation on your farm. The license key is valid for 365 days from the date issued. The expiration date of the license will not be adjusted by ShortPoint to accommodate a failure to activate the license on time. Based on the number of purchased users, you will then be asked to assign the employee accounts with their licenses.

In case the product is ShortPoint SPFx, ShortPoint will allocate a domain URL under which you may access the Software. Based on the number of purchased users, you will then be asked to assign the employee accounts with their license.

For ShortPoint Widget, ShortPoint will allocate the license and register it based on the account instance ID under which you may access the Software. Based on the number of purchased users, you will then be asked to assign the employees accounts with their license.

1.5 Reassigning Licensed ShortPoint Users.

The license will be locked to the assigned user. ShortPoint licenses can be reassigned once per year – to request reassignment, contact support@shortpoint.com. ShortPoint may allow additional reassignments in special cases, solely at its discretion.

Please note that reassigning licensed users is subject to ShortPoint license audit approval.
